Terms of Service

These Terms of Service govern your use of the services provided by MINDS N HEARTS INC. (“Minds & Hearts,” “we,” “us,” “our”), including mindsandhearts.org, the IMPACT platform (web, iOS, Android), and any related services. By accessing or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using any of our services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use our services.

2. Eligibility

You must be at least 13 years old to create an account independently. Users under 13 may use our services only through verifiable parental consent or under the authorization of their school or youth organization, as permitted by COPPA. By using our services, you represent that you meet these eligibility requirements.

3. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at security@mindsandhearts.org of any unauthorized use. You may not transfer your account to another person.

4. Acceptable Use

You agree not to:

• Submit false, misleading, or fraudulent mission proof;
• Harass, threaten, or harm other users;
• Upload content that is unlawful, defamatory, obscene, hateful, or otherwise objectionable;
• Attempt to gain unauthorized access to our systems or other users' accounts;
• Use our services to violate any applicable law or regulation;
• Reverse-engineer, decompile, or attempt to extract source code from our services;
• Use automated means (bots, scrapers) to access or interact with our services without our written consent.

We reserve the right to suspend or terminate accounts that violate these rules.

5. User Content

5.1 Your ownership

You retain ownership of the content you submit (photos, videos, text, mission proofs). You grant us a worldwide, royalty-free, non-exclusive license to host, display, and use that content as necessary to operate and improve our services.

5.2 Your responsibility

You are responsible for the content you submit. Do not submit content that infringes anyone else's rights, contains personal information of minors without consent, or violates our Acceptable Use policy.

5.3 Moderation

We may review, remove, or refuse to display content that violates these Terms. We are not obligated to monitor user content and do not endorse any user-submitted views.

6. Intellectual Property

All content, branding, software, and design elements of our services — including the IMPACT name, logo, and platform — are owned by or licensed to MINDS N HEARTS INC. and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written permission.

7. Third-Party Services

Our services may include links to or integrations with third-party services (e.g., payment processors, social platforms). Those services are governed by their own terms and policies. We are not responsible for third-party services.

8. Termination

You may delete your account at any time. We may suspend or terminate your access to our services at our discretion for any violation of these Terms, with or without notice. Upon termination, your right to use our services ends immediately. Provisions that by their nature survive termination (intellectual property, disclaimers, limitation of liability, indemnification, disputes) will continue to apply.

9. Disclaimers

OUR SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT OUR SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MINDS N HEARTS INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF (A) $100 USD, OR (B) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless MINDS N HEARTS INC., its officers, directors, employees, and agents, from any claims, damages, or expenses (including reasonable attorneys' fees) arising out of your use of our services, your content, or your violation of these Terms.

12. Disputes & Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. Any dispute arising from these Terms or our services shall be resolved exclusively in the state or federal courts located in Suffolk County, New York, and you consent to personal jurisdiction in those courts.

13. Changes

We may revise these Terms from time to time. Material changes will be communicated via in-app notice or email at least 30 days before they take effect. Continued use of our services after the effective date constitutes acceptance of the revised Terms.
